于二零零九年四月二十七日,本公司之间接全资附属公司亚洲卫星与建造承办商(为一独立第三方)就亚洲五号C卫星订立建造协议。亚洲五号C卫星之规格及提供之若干相关服务与亚洲五号卫星相似。根据建造协议,建造亚洲五号C卫星及相关服务之总现金代价约为98,340,000美元(约767,050,000港元),可予调整。

根据建造协议,亚洲卫星将有选择权指示建造承办商按若干预定修正,更改亚洲五号C卫星至以便可在亚洲五号C卫星位置以外之不同轨道位置运作;更可有选择权收购另一枚大致上与亚洲五号C卫星相似之卫星。

诚如前公告及前通函所披露,亚洲五号卫星已延迟发射及亚洲五号卫星发射日期已重新定于二零零九年七月十五日至二零零九年八月十五日之间。监于亚洲五号卫星延迟发射,本公司相信倘亚洲五号卫星发射失败,于亚洲二号卫星退役前准备另一杖卫星(即亚洲五号C卫星)以取代亚洲二号卫星实属谨慎之举。倘亚洲五号卫星成功发射并及时取代亚洲二号卫星,本公司将会考虑更改亚洲五号C卫星之规格作其他可行用途,或考虑其他方案(如转售亚洲五号C卫星、终止建造协议,或转让其于建造协议项下之权利)。

由于参照建造协议项下就建造亚洲五号C卫星及提供若干相关服务之总代价计算之各项适用百分比率大于5%但小于25%,故根据上市规则第14章,建造协议项下拟进行之交易构成本公司之须予披露交易。

建造亚洲五号C卫星及相关服务

建造承办商将向亚洲卫星提供亚洲五号C卫星之设计、建造、装配、测试、生产及付运,及若干相关服务(包括设计、分析、制造、产品保证、产品整合、运输及测试)。此外,建造承办商亦将向未来发射服务之供应商提供一切必要的技术支援,以进行测试整合及发射。建造承办商可委聘次承办商进行建造协议项下规定之部份工程。

建造承办商亦将提供一项免版权费、世界通行、非独家、不可转让、已缴款之牌照,以供亚洲卫星使用有关数据及资料,包括但不限于亚洲卫星就建造及操作亚洲五号C卫星而言所需之报告、文件、电脑程式、图像、图则及图表所载之技术数据及资料。

代价及款项

根据建造协议,建造亚洲五号C卫星及提供若干相关服务之总现金代价约为98,340,000美元(约767,050,000港元),该总现金代价乃根据美国劳工统计局于二零零九年三月发表之相关指数之初步数字计算,并可根据美国劳工统计局于二零零九年八月发表之相关官方最终指数作出调整(「建造价」)。百分之十(10%)之建造价为表现奖励款项,倘超出亚洲五号C卫星预定之操作期限,建造承办商将有权保留该款项而无须退还予亚洲卫星。建造价将悉数由本集团之内部资源拨付。

亚洲卫星与建造承办商已协定付款时间表,并由二零零九年三月二十三日起计24个月内订立多个账款阶段,亚洲卫星须于各个阶段之里程事件完成後,于接获建造承办商发票之30日内向建造承办商支付费用。截至本公告日期,亚洲卫星已于二零零九年三月二十三日向建造承办商支付部份建造价,金额约为5,400,000美元(约42,120,000港元)。

所有权

亚洲五号C卫星之所有权将于发射一刻转让予亚洲卫星。倘亚洲五号C卫星于其可供装运後3年内未获发射,则亚洲卫星须支付建造协议项下之所有应付款项,待取得美国政府之批准後方可获得亚洲五号C卫星之所有权。

完成建造

根据建造协议之条款,建造承办商须由二零零九年三月二十三日起计22个月内完成建造亚洲五号C卫星,使亚洲五号C卫星可供装运至发射站。

建造承办商之抵押品

建造承办商将其于建造协议项下之工程及在建工程之一切权利、所有权及权益,以及其中之任何所得款项及利益,抵押及担保予亚洲卫星作为担保权益。

可转让性

亚洲卫星或建造承办商于未获得对方之事先书面同意前,于若干情况下无权转让其于建造协议项下之权利或是责任予任何人士或实体。

建造承办商知识产权之赔偿金

建造承办商将赔偿亚洲卫星,并就第三方根据生产建造协议项下任何项目乃侵害任何第三方知识产权之指称,就专利权费用付款、衡帄法补救或损害赔偿金对亚洲卫星作出之请求、索偿、行动及诉讼提出抗辩,费用由建造承办商承担;及支付解决有关请求或索偿之任何专利权费用及其他成本,以及就索偿最终裁决授予有关第三方之损害赔偿金。

选择权

亚洲卫星拥有可于若干特定期间内以按约不多于3,180,000美元(约24,800,000港元)为行使选择权之价格,以指示建造承办商更改亚洲五号C卫星之规格。

此外,亚洲卫星拥有可于一个若干特定期间内任何时间行使之选择权,以按106,000,000美元(约826,800,000港元)之价格订购另一枚大致上与亚洲五号C卫星相似之卫星,并可于行使该选择权後25个月内可供装运之卫星。

本公司于行使有关选择权时将遵孚上市规则之必要规定,如有需要将会另行发表公布。

交易之理由及利益

谨此提述前公告及前通函,内容有关亚洲卫星及ILS就发射亚洲五号卫星订立之亚洲五号卫星发射合约。诚如前公告及前通函所披露,亚洲五号卫星已延迟发射及亚洲五号卫星发射日期已重新定于二零零九年七月十五日至二零零九年八月十五日之间。监于亚洲五号卫星延迟发射,本公司相信倘亚洲五号卫星发射失败,于亚洲二号卫星退役前准备另一杖卫星(即亚洲五号C卫星)以取代亚洲二号卫星实属谨慎之举。倘亚洲五号卫星成功发射并及时取代亚洲二号卫星,本公司将会考虑更改亚洲五号C卫星之规格作其他可行用途,或考虑其他方案(如转售亚洲五号C卫星、终止建造协议,或转让其于建造协议项下之权利)。

PALO ALTO, Calif. and HONG KONG, May 5, 2009 (GlobeNewswire via COMTEX News Network) -- Space Systems/Loral (SS/L), a subsidiary of Loral Space & Communications (NasdaqORL) and the leading provider of commercial satellites, today announced that it has been selected to provide a new communications satellite, named AsiaSat 5C, to Asia Satellite Telecommunications Company Limited (AsiaSat). AsiaSat 5C will serve as a backup for AsiaSat 5, which is currently being built by Space Systems/Loral and is scheduled for launch in the third quarter of 2009. AsiaSat 5 will replace AsiaSat 2 at the orbital location of 100.5 degrees East.

"Our focus on high quality and reliable service is something that we share with Space Systems/Loral," said Peter Jackson, Chief Executive Officer of AsiaSat. "The AsiaSat 5C procurement program ensures the continuity of service to our AsiaSat 2 customers in the event of a launch failure of AsiaSat 5."

The spacecraft is based on Space Systems/Loral's 1300 satellite bus, with performance similar but not limited to that of AsiaSat 5 designed for the provision of fixed satellite services for television broadcast, telephone networks, and VSAT networks for broadband multimedia services across the Asia Pacific.

AsiaSat 5C, which was originally intended to backup AsiaSat 5, has had a name change and is now under construction as AsiaSat 7. Space Systems/Loral is building the new satellite on the SS/L 1300 series satellite platform with performance similar to that of AsiaSat 5. It is designed for the provision of fixed satellite services for television broadcast, telephone networks, and VSAT networks for broadband multimedia services across the Asia Pacific Region. It is scheduled for launch in late 2011, and depending on future market conditions, it will either replace AsiaSat 3S at the orbital location of 105.5°E or be positioned at another orbital slot to take on expanded business.

AsiaSat-Sea Launch Contract Will Require Court Approval

PARIS — Satellite fleet operator AsiaSat of Hong Kong and commercial launch services provider Sea Launch Co. have entered into a contract designed to end their year-long dispute and provide Asiasat with a launch of a future satellite for no more than $98 million, the companies said.

The agreement, announced July 12 by Long Beach, Calif.-based Sea Launch, must be approved by the Delaware Bankruptcy Court overseeing Sea Launch’s Chapter 11 bankruptcy reorganization. Sea Launch currently expects to emerge from bankruptcy by September on the strength of a financial lifeline provided by RSC Energia of Korolev, Russia, which manufactures the upper stage of Sea Launch’s Zenit 3SL rocket.

Under this scenario, Sea Launch could return to flight in mid- to late 2011.

AsiaSat is one of numerous unsecured creditors in the Sea Launch bankruptcy due to its May 2006 contract to launch the AsiaSat 5 satellite aboard a Sea Launch vehicle. AsiaSat had paid $31.5 million in milestone payments to Sea Launch under that contract.

Sea Launch entered Chapter 11 bankruptcy in June 2009. AsiaSat, concerned that its launch schedule could not be assured, switched suppliers and ultimately paid $95 million to International Launch Services (ILS) of Reston, Va., for an August 2009 launch aboard an ILS Proton vehicle.

Unsecured creditors do not have top priority in being repaid in U.S. Chapter 11 bankruptcy proceedings, which are designed to maximize the chances of survival of the company seeking reorganization and protection from its creditors.

It was thus far from certain whether AsiaSat could realistically hope to recover its $31.5 million deposit. As the months passed and it became increasingly likely that Sea Launch would return to operations, AsiaSat agreed to a compromise.

In contracting with Sea Launch, AsiaSat is adding strength to Sea Launch’s business plan and making it more likely that the launch-services provider will win court approval for its reorganization and emerge from Chapter 11.

Under the deal, signed July 8 and disclosed by AsiaSat to the Hong Kong Stock Exchange in a document dated July 9, Sea Launch will provide AsiaSat with a $16.5 million credit to be used for a future launch.

The launch, to occur between January 2012 and December 2014 for a satellite not yet identified, is priced at between $105 million and $114 million, with the final figure depending on when the launch occurs.

Subtracting the credit, the net cost to AsiaSat will be between $88.85 million and $97.85 million.

“[T]he entering into the launch services contract provides the company with a better recovery position of the claim and is a better alternative to the recovery proposal,” AsiaSat said in its stock exchange filing.

The contract also gives AsiaSat the right to terminate the deal if it concludes, before it begins making fresh milestone payments, that Sea Launch is incapable of meeting the launch dates because of hiccups in production of rocket hardware or other issues.

If AsiaSat terminates the contract, Sea Launch will make a cash payment of 17.5 percent of the agreed credit, or $2.83 million, according to AsiaSat.

AsiaSat has one satellite, formerly called AsiaSat 5C and now named AsiaSat 7, under construction at Space Systems/Loral of Palo Alto, Calif. It is also reviewing options for a satellite to be called AsiaSat 6, AsiaSat Chief Executive Peter Jackson said in a July 13 e-mail. No decision has been made on which satellite will be launched under the Sea Launch contract.

“We have to see how they come out of bankruptcy and start to launch again,” Jackson said of the contract’s conditions. “We have done this to get a good deal and of course to assist in the business plan that they will be submitting to the court.”

ILS Proton To Launch AsiaSat 7 in 2011

PARIS — Satellite fleet operator AsiaSat has selected an International Launch Services (ILS) Proton rocket to place the AsiaSat 7 telecommunications satellite into orbit between August 2011 and November 2011 under a contract valued at $101 million, Hong Kong-based AsiaSat and ILS announced Oct. 5.

AsiaSat 7, under construction by Space Systems/Loral of Palo Alto, Calif., was originally called AsiaSat 5C and was intended as a backup in case AsiaSat 5 failed early in its life. That satellite is healthy in orbit.

AsiaSat 7 will now be used to replace the AsiaSat 3S satellite at 105.5 degrees east longitude. Launched in March 1999, AsiaSat 3S carries 28 C-band and 16 Ku-band transponders. It was 70 percent full as of June 30, AsiaSat said in an Oct. 5 submission to the Hong Kong Stock Exchange.

AsiaSat said its agreement with Sea Launch Co. of Long Beach, Calif., for the launch of an unnamed AsiaSat satellite between 2012 and 2014, will be maintained, but used for a future spacecraft. Sea Launch, which is emerging from Chapter 11 bankruptcy in the United States, is scheduled to return to flight in late 2011.

AsiaSat said it made a $14.6 million down payment to Reston, Va.-based ILS. The rest of the launch fee will be paid out in regular increments, with the last due a month after launch. The contract carries a termination fee of $48.5 million.

AsiaSat said ILS has guaranteed that, in the event of a launch failure, AsiaSat will be able to secure another ILS Proton launch at a price of between $107 million and $110 million.

10月24日,亚洲7号(原亚洲五号C卫星)运抵拜科努尔

Delivered to the Baikonur space apparatus "Asiasat-7"

      October 24 at the airport "Jubilee" Baikonur transport aircraft landed, who delivered the spacecraft (SC) communications "Asiasat-7."

      After unloading and customs clearance, container with the spacecraft and ground support equipment be transported from the airport in the assembly and testing building site 92A-50 rocket, which will be further training SC "Asiasat-7" to launch.

      SC connection "Asiasat-7" is designed to provide communication services in South-East Asia and Pacific region.
